Welcome to Tilvin. These Terms & Conditions (“Terms”) form a legal agreement between you (“User”, “You”, “Your”) and Tilvin (“We”, “Us”, “Our”). By accessing or using the Tilvin platform, website, mobile application, or related services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

If you are using Tilvin on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration & Security

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify us immediately of any unauthorized access or use of your account.
• Tilvin is not liable for any loss arising from unauthorized account access due to your negligence.

3. Use of the Service

You agree to use Tilvin only for lawful purposes. You must not:

• Reverse engineer, modify, or copy any part of the Service.
• Upload harmful code, viruses, or malicious files.
• Use the Service to transmit spam, abusive content, or defamatory material.
• Interfere with the system integrity, performance, or availability.

We reserve the right to suspend or terminate accounts violating these Terms.

4. Organizational Data & Multi-Tenant Access

Tilvin may allow you to create or join organizations/teams.

• Data created within an organization may be visible to other users in the same organization depending on role permissions.
• The organization owner/admin controls membership access.
• Tilvin is not responsible for disputes related to user access, roles, or data visibility within your organization.

5. User Content

You may upload data such as projects, tasks, files, attachments, comments, images, or documents (“User Content”). By uploading User Content, you grant Tilvin a non-exclusive license to store, process, and display that content solely for providing the Service.

Your Responsibilities:

• You own or have permission to use all User Content.
• Your content does not violate any third-party rights or laws.
• We may remove content that violates our policies.

6. Data Privacy

Tilvin respects your privacy. Your data is processed in accordance with our Privacy Policy (a separate document). We do not sell your personal or organizational data to third parties.

We may collect system logs, usage analytics, and device information to improve service performance.

7. Subscription, Billing & Cancellation

If Tilvin offers paid plans:

• Fees will be billed in advance on a recurring basis unless cancelled.
• Prices, features, and plan limits may change with notice.
• You may cancel your subscription at any time; however, no refunds are issued for partial billing periods.
• If payment fails, your account may be suspended until resolved.

8. Intellectual Property

Tilvin, including its design, code, logo, branding, documentation, and technology, is our exclusive intellectual property. You may not reproduce, distribute, or create derivative works without written permission.

9. Third-Party Integrations

Tilvin may integrate with third-party tools (e.g., payment gateways, calendars, cloud storage, communication apps).

• Use of such integrations is subject to their respective terms.
• Tilvin is not responsible for failures or data issues caused by third-party services.

10. Service Availability

We strive for continuous availability but do not guarantee uninterrupted service. Tilvin may perform scheduled maintenance, updates, or emergency downtime.

We are not liable for:

• Data loss caused by user actions
• Internet issues
• Third-party outages

We encourage users to maintain their own backups.

11. Limitation of Liability

Tilvin is provided “as is” and “as available.” To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages.
• Our total liability for any claim will not exceed the amount paid by you in the last 12 months.

You use the Service at your own risk.

12. Termination

We may suspend or terminate your account if:

• You violate these Terms
• You misuse the Service
• Required by law or security concerns

Upon termination:

• Your access will be disabled.
• We may retain data only as long as required for legal or technical reasons.

13. Changes to Terms

We may update these Terms at any time. Continued use of Tilvin after changes indicates acceptance of the new Terms.
